Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Cordai FP&A platform and related services ("Services") provided by Cordai Financial Intelligence, Inc. ("Cordai", "we", "us", or "our"). By accessing or using our Services, you agree to be bound by these Terms.

If you are using Cordai on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.


1. Access and Accounts

Access to Cordai is by invitation or approved request only. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You may use Cordai solely for lawful internal business purposes in connection with your organization's financial planning and analysis. You agree not to:

You retain full ownership of all financial data, records, and content you connect to or upload into Cordai ("Customer Data"). By using the Services, you grant Cordai a limited, non-exclusive license to process your Customer Data solely to provide and improve the Services.

Cordai will not sell, share, or use your Customer Data for any purpose outside of service delivery. For full details on how data is handled, please review our Privacy Policy.

4. Service Availability

We aim to provide a reliable, high-availability platform. However, we do not guarantee uninterrupted access to the Services. Planned maintenance will be communicated in advance where reasonably practicable.

Cordai is not liable for any losses arising from temporary unavailability, service interruptions, or delays caused by factors outside our reasonable control.

5. Subscription and Billing

Subscription fees are charged on a monthly basis as outlined in your selected plan. By providing payment information, you authorize Cordai to charge the applicable fees on the agreed billing cycle.

6. AI-Generated Outputs

Cordai uses artificial intelligence to generate financial analysis, summaries, and responses based on your connected data. While we strive for accuracy, AI-generated outputs should be reviewed by a qualified financial professional before being relied upon for material business decisions.

Cordai does not provide financial, accounting, tax, or legal advice. Outputs from the platform are informational only.

7. Intellectual Property

All software, interfaces, models, and technology underlying the Cordai platform are and remain the exclusive property of Cordai Financial Intelligence, Inc. Nothing in these Terms transfers any intellectual property rights to you.

Feedback, suggestions, or ideas you provide regarding the Services may be used by Cordai without obligation or compensation to you.

8. Limitation of Liability

To the fullest extent permitted by applicable law, Cordai's total liability to you for any claims arising from your use of the Services shall not exceed the fees paid by you in the three months preceding the claim.

In no event will Cordai be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or data loss, even if advised of the possibility of such damages.

9. Termination

Either party may terminate the subscription with 30 days' written notice. Cordai may terminate or suspend access immediately for material breach of these Terms, non-payment, or conduct that poses a security risk.

Upon termination, your workspace data will be handled in accordance with our Privacy Policy retention schedule.

10. Changes to These Terms

We may update these Terms from time to time. We will provide at least 14 days' notice of material changes via email or in-platform notification. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.

11. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the state or federal courts located in Delaware.
